These Terms & Conditions ("Terms") govern your access to and use of the products, content, and services (the "Service") provided by Fraud Ninja LLC ("Fraud Ninja", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who You Are Contracting With

The Service is provided by Fraud Ninja LLC. When you purchase a product or subscription, your order is processed by our reseller (see Section 7). All other use of the Service is governed by your agreement with Fraud Ninja LLC.

2. Acceptance

By creating an account, purchasing a product, or otherwise using the Service, you confirm that you have read and agree to these Terms. Continued use of the Service constitutes ongoing acceptance of these Terms, including any updates we publish.

You represent that you are of legal age to form a binding contract and, if you are using the Service on behalf of an organization, that you have the authority to bind that organization to these Terms.

3. The Service

Fraud Ninja provides educational content, guides, tools, and related digital products focused on fraud and identity-theft prevention and recovery. The specific features and content available depend on the plan or product you purchase.

4. Account and Accurate Information

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree to provide accurate information and to keep it up to date.

5. Acceptable Use

You agree not to misuse the Service. In particular, you must not:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose;
  • Send spam or unsolicited communications through or about the Service;
  • Infringe the intellectual property or privacy rights of Fraud Ninja or any third party;
  • Introduce malware, attempt to gain unauthorized access, probe, scan, or otherwise interfere with the security or integrity of the Service;
  • Scrape, harvest, or extract data from the Service except as expressly permitted.

6. Intellectual Property

The Service, including all software, content, text, graphics, logos, and branding, is owned by Fraud Ninja LLC or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your personal or internal business use within the plan you have purchased. You may not reverse engineer, resell, redistribute, or circumvent any technical limits of the Service.

7. Payments, Subscriptions, Refunds, and Taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms in addition to our Refund Policy.

8. Service Availability

We work hard to keep the Service available and reliable, but we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Not Legal, Financial, or Professional Advice

Content provided through the Service is for general educational and informational purposes only. It is not legal, financial, tax, or other professional advice. You are responsible for your own decisions and should consult qualified professionals where appropriate.

10. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, if:

  • You materially breach these Terms;
  • You fail to pay any amount when due;
  • We reasonably believe your use poses a security or fraud risk; or
  • You repeatedly or seriously violate our policies or applicable law.

Upon termination, your right to use the Service ends. Where reasonably practicable, we will provide a window to export your data before deletion.

11. Limitation of Liability

To the maximum extent permitted by law, Fraud Ninja LLC's aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to us (through our reseller) in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Fraud Ninja LLC from and against any claims, damages, and expenses (including reasonable legal fees) arising out of your content, your unlawful use of the Service, or your breach of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Fraud Ninja LLC is established, without regard to conflict-of-laws principles. The courts located in that jurisdiction will have exclusive jurisdiction over any disputes arising out of or relating to these Terms, except where applicable law provides otherwise.

15. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

16. Force Majeure

Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility outages, or governmental actions.
